Exercise of warrants - increase of NKT Holding's share capital and changes in Articles of Association

Following requests from a number of employees to exercise their warrants fromthe share option programme issued in 2005, the share capital of NKT Holdingwill be increased by the issue of 15,500 shares of a nominal value of 20 DKKeach. The share capital will thus be increased by a total nominal amount of310,000 DKK. The shares will be subscribed for based on warrants issued in 2005, as detailedin NKT Holding's Stock Exchange Release No. 3 dated 6 January 2005. Thesubscription price will be 190.50 DKK per nominal 20 DKK share. Following the increase in share capital, NKT Holding's registered share capitalwill comprise a total of 23,737,979 shares of a nominal value of 20 DKK,corresponding to a total nominal share capital of 474,759,580 DKK. The share capital will be registered in Article 3 of the Articles ofAssociation which are attached hereto and can be viewed at NKT Holding'swebsite www.nkt.dk ConsequencesThe new shares will convey right to dividend as from the date of registrationwith The Danish Commerce and Companies Agency.
